The salary is the fixed cash a CEO earns regardless of performance — the floor. For large companies, it's often the smallest slice of the total, sometimes only a few percent. That's usually a good sign: a package that's mostly salary pays for showing up, not for results.
What you're checking here is simple. Is the salary a modest anchor, or is it so large that the executive is comfortable no matter what the stock does? A rich fixed salary blunts every other incentive in the plan.

Here's the reframe that makes all this useful. You're not reading a pay package to decide whether a CEO is "overpaid" in some moral sense. High pay for a genuinely great operator can be a bargain; low pay for a value-destroyer is still too much. The real question is narrower and more practical:
Does this person get meaningfully richer by making the business more valuable over the long run — the same thing that makes you richer as an owner?
When the answer is yes, incentives are aligned, and you can trust that self-interest is roughly pulling in your direction.
